Welcome to Kiddos Yum, a product developed and operated by Kiddos LLC, a California limited liability company and part of the Kiddos AI suite of educational and family services (the “Mobile Application”).

Kiddos Yum is a parent-controlled lunchbox planning application designed to help families organize meals in a fun, child-friendly way. Parents create and manage approved food menus, while children select meals, snacks, and lunchbox items from those parent-approved choices. The Mobile Application may generate lunchbox layouts, meal suggestions, packing lists, shopping lists, food illustrations, visual meal plans, and other family-oriented planning materials.

These Terms of Use govern your access to and use of the Mobile Application, including when accessed through the Kiddos Family Pack and through subscription plans made available by Kiddos LLC.

By downloading, installing, or using the Mobile Application, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, you may not access or use the Mobile Application.

These Terms include provisions regarding limitations of liability, dispute resolution, and arbitration, which may affect your rights. Please review them carefully.

# Definitions

For purposes of these Terms:

* **"Kiddos Apps"** means the mobile applications developed and published by Kiddos LLC, including Kiddos TV, Kiddos Books, Kiddos Bright, Kiddos Events, Kiddos Music, Kiddos Yum, and other Kiddos-branded applications made available from time to time.

* **"Kiddos Family Pack"** means a Kiddos-provided experience, interface, or offering that helps users discover, install, and access multiple Kiddos Apps from a unified environment. The Kiddos Family Pack does not itself constitute a subscription unless expressly stated in the applicable purchase flow.

* **"Subscription"** means any paid, auto-renewable plan that provides access to premium content, features, or services within one or more Kiddos Apps.

* **"Kiddos+"** means a premium subscription plan that may provide access to eligible premium content, features, or services across multiple Kiddos Apps, depending on the plan selected and current availability.

* **"Monthly Subscription"** means a Subscription billed monthly.

* **"Yearly Subscription"** means a Subscription billed annually.

* **"Meal Suggestions"** means any meal ideas, lunchbox combinations, snack suggestions, food recommendations, shopping lists, packing lists, or similar content generated or presented by the Mobile Application.

# 1. Registration and Access

Access to the Mobile Application may occur directly, through a standalone subscription applicable to the Mobile Application, or through a broader offering such as Kiddos+ or the Kiddos Family Pack.

You are responsible for all activities that occur during any free trial period and any subscription period.

If you access or use the Mobile Application on behalf of another person or entity, you represent that you have authority to accept these Terms on their behalf.

Use of the Kiddos Yum Mobile Application through Apple's App Store is governed by Apple's Media Services Terms and Conditions.

Payments, subscriptions, restorations, refunds, and in-app purchases are managed by Apple and remain subject to Apple's applicable terms and requirements:

## 1.a. Business Use

If you purchase, install, or otherwise use the Mobile Application on behalf of a company, school, daycare, childcare provider, camp, nonprofit organization, or other entity, you represent that you have authority to act on behalf of that organization and that such organization accepts this Agreement.

## 1.b. Content and Connectivity

The availability of foods, meal suggestions, lunchbox templates, illustrations, premium themes, recommendations, and other features may vary by region, language, subscription type, or device and may change over time.

Some features may require an internet connection.

Data charges may apply depending on your mobile carrier or internet provider.

# 2. Parental Responsibility

You must be at least 13 years old or the minimum age required in your jurisdiction to consent to use the Mobile Application.

Children under 13 may use the Mobile Application only if enabled by a parent or legal guardian, in compliance with applicable law.

If you are under the age of majority in your jurisdiction, you must obtain permission from your parent or legal guardian before using the Mobile Application.

If you are the parent or legal guardian of a child using the Mobile Application, you accept full responsibility for your child's use of the Mobile Application and for all food selections, meal planning decisions, lunchbox preparation, and related activities.

Parents and legal guardians remain solely responsible for determining what foods are appropriate for their children.

# 3. Usage Restrictions

You may not:

* Use the Mobile Application for any unlawful purpose.

* Use the Mobile Application in a manner that infringes upon the rights of others.

* Modify, copy, lease, sublicense, distribute, or commercially exploit the Mobile Application or its content.

* Reverse engineer, decompile, or otherwise attempt to discover the source code except where expressly permitted by applicable law.

* Attempt to interfere with or disrupt the Mobile Application or its infrastructure.

* Circumvent parental controls or subscription protections.

* Share premium content outside your authorized household or educational use.

* Use automated tools, bots, scripts, or scraping technologies to extract content from the Mobile Application.

# 4. AI-Generated Content, Meal Suggestions, and Third-Party Materials

Some meal suggestions, lunchbox layouts, food illustrations, educational materials, descriptions, and recommendations available through the Mobile Application may be created or enhanced using artificial intelligence ("AI") technologies.

The Mobile Application is intended solely as a planning and educational tool.

It is **not** intended to provide medical advice, nutritional counseling, dietary treatment, allergy management, food safety certification, or healthcare services.

Parents and legal guardians remain solely responsible for:

* selecting appropriate foods;

* verifying ingredients;

* reviewing nutrition labels;

* checking allergen information;

* evaluating portion sizes;

* ensuring food safety;

* complying with school, daycare, or camp policies; and

* determining whether any suggested meal is appropriate for their child.

AI-generated suggestions may contain inaccuracies, omissions, outdated information, or inappropriate recommendations.

Kiddos LLC makes no representation or warranty that any meal suggestion:

* is nutritionally complete;

* satisfies dietary requirements;

* is allergen-free;

* complies with school or childcare policies;

* is medically appropriate;

* is culturally or religiously appropriate; or

* is suitable for any particular child.

The Mobile Application should never be used as a substitute for professional advice from physicians, pediatricians, dietitians, nutritionists, schools, childcare providers, or other qualified professionals.

## 4.a. Food Allergies and Dietary Restrictions

Kiddos Yum does not verify allergens, ingredient lists, manufacturing practices, cross-contamination risks, nutritional claims, expiration dates, or food safety information.

Parents and caregivers remain solely responsible for ensuring that all foods selected, packed, prepared, purchased, or served are appropriate for their child.

## 4.b. Nutrition Information

Any nutritional information, food classifications, serving suggestions, or educational content provided within the Mobile Application is offered solely for general educational purposes.

Such information should not be interpreted as medical advice or nutritional counseling.

## 4.c. No Medical or Professional Advice

Kiddos Yum is intended solely to assist families in organizing meals, lunchboxes, approved food menus, shopping lists, packing lists, visual meal plans, and related family routines.

Nothing in the Mobile Application constitutes medical advice, nutritional counseling, dietary treatment, diagnosis, allergy management, food safety certification, or professional healthcare advice.

Kiddos Yum is not a medical device and is not intended to diagnose, prevent, monitor, treat, or cure any disease, allergy, medical condition, nutritional deficiency, or other health concern.

Parents and caregivers remain solely responsible for determining whether any food, ingredient, meal, snack, portion size, lunchbox selection, recommendation, or other content is appropriate for their child.

Parents and caregivers should consult qualified physicians, pediatricians, dietitians, nutritionists, or other qualified healthcare professionals regarding allergies, intolerances, medical conditions, dietary restrictions, nutritional needs, food safety concerns, or other health-related questions concerning their children.

## 4.d. Third-Party Restaurants and Food Providers

The Mobile Application may recommend, display, link to, or otherwise provide information about restaurants, cafés, grocery stores, meal providers, school meal providers, camps, food retailers, or other third-party businesses.

Such recommendations are provided solely for informational and convenience purposes.

Kiddos LLC does not own, operate, inspect, supervise, certify, monitor, or endorse any third-party business or its products or services.

Kiddos LLC makes no representation or warranty regarding:

* food quality;

* ingredient accuracy;

* allergen information;

* nutritional information;

* pricing;

* availability;

* food preparation;

* food safety;

* sanitation practices;

* regulatory compliance; or

* the suitability of any food or service for any individual.

Parents and caregivers remain solely responsible for evaluating any third-party business and determining whether its products or services are appropriate for their child.

Any interaction, purchase, reservation, or other transaction with a third-party provider is solely between you and that provider.

## 4.e. Third-Party Materials

The Mobile Application may include links to third-party websites, products, or services.

Kiddos LLC is not responsible for third-party materials and disclaims liability arising from their use.

# 5. Feedback

We welcome your feedback.

By submitting suggestions, ideas, feature requests, comments, or other feedback regarding Kiddos Yum, you grant Kiddos LLC a perpetual, irrevocable, worldwide, royalty-free license to use, reproduce, modify, publish, distribute, and incorporate such feedback into its products and services without compensation or obligation to you.

# 6. Intellectual Property Rights

## 6.a. Ownership

All rights, title, and interest in Kiddos Yum, including its software, user interface, lunchbox builder, meal planning system, food artwork, illustrations, animations, premium themes, bento layouts, educational activities, voice interactions, audio, graphics, visual designs, recommendations, AI-generated content, shopping lists, packing lists, menu structures, and all related creative elements are the exclusive property of Kiddos LLC and are protected by copyright, trademark, trade dress, patent, trade secret, and other intellectual property laws.

All materials generated, enhanced, or compiled through artificial intelligence technologies under the direction of Kiddos LLC form part of Kiddos LLC's proprietary works.

Certain third-party technologies may support cloud infrastructure, AI processing, mapping services, restaurant information, or other technical functionality. Such technologies remain the property of their respective owners. However, all original creative works, lunchbox designs, educational experiences, food illustrations, premium artwork, menu layouts, and related content created within Kiddos Yum remain the exclusive property of Kiddos LLC.

## 6.b. Restrictions

You may not reproduce, distribute, publicly display, sell, modify, create derivative works from, or otherwise exploit any portion of Kiddos Yum or its content without prior written permission from Kiddos LLC.

## 6.c. Trademarks

Nothing contained in these Terms grants any right to use the Kiddos Yum name, Kiddos name, Kiddos LLC logos, trademarks, service marks, product names, icons, or branding without prior written consent.

## 6.d. Limited License

Kiddos LLC grants you a limited, non-exclusive, non-transferable, revocable license to download and use Kiddos Yum solely for personal, household, educational, childcare, classroom, or family meal-planning purposes, subject to these Terms.

Standalone Kiddos Yum subscriptions, Kiddos+ subscriptions, and Apple Family Sharing (where available) are intended for personal, household, and individual classroom use.

Institutional, commercial, enterprise, or large-scale educational use requires a separate written agreement with Kiddos LLC.

This license transfers no ownership rights.

## 6.e. Reservation of Rights

All rights not expressly granted remain reserved by Kiddos LLC.

Unauthorized use may violate applicable intellectual property laws and may result in civil and criminal penalties.

# 7. Privacy and Data Protection

Kiddos LLC values your privacy and is committed to designing products that respect families and children.

Kiddos Yum is built with a privacy-first philosophy. We strive to minimize the collection of personal information and design features so that, whenever reasonably possible, information remains on your device.

Kiddos LLC does not require users to create a Kiddos account in order to use the Mobile Application.

Certain information may nevertheless be processed by third-party platform providers, including Apple, in connection with subscriptions, purchases, restorations, crash reporting, analytics made available by the platform, or other platform services. Such processing is governed by the applicable third-party privacy policies.

# 8. Parental Controls

Kiddos Yum includes parental tools intended to help adults manage the meal planning experience for children.

Depending on the version of the Mobile Application and available features, parents or legal guardians may be able to:

* create and manage approved food menus;

* control which foods or ingredients children may choose;

* organize meals and snacks;

* manage premium content;

* configure lunchbox themes;

* manage subscriptions;

* review generated lunchbox plans.

Parents remain solely responsible for all food selections ultimately packed, served, or consumed.

# 9. Cybersecurity

Kiddos LLC does not guarantee that the Mobile Application, its servers, or any linked websites will be uninterrupted, secure, or free from viruses, malware, ransomware, spyware, or other harmful components.

You are responsible for maintaining the security of your own devices, operating systems, accounts, backups, and internet connections.

You agree not to:

* introduce viruses, worms, trojans, malicious code, or other harmful software;

* attempt unauthorized access to the Mobile Application;

* interfere with security mechanisms;

* perform denial-of-service attacks;

* attempt to gain unauthorized access to servers, databases, APIs, or networks used by Kiddos LLC.

Violation of this section may result in suspension or termination of access and may subject you to civil or criminal liability.

# 10. Subscriptions, Kiddos+, and Free Trial

Kiddos Yum may be accessed as a standalone offering, through Kiddos+, or through the Kiddos Family Pack experience.

## 10.a. Subscription Types

Depending on region, platform availability, and current offerings, Kiddos LLC may provide one or more of the following subscriptions through Apple's App Store:

* Monthly Subscription

* Yearly Subscription

* Monthly Kiddos+

* Yearly Kiddos+

Features, premium food artwork, lunchbox themes, meal planning capabilities, AI-powered features, premium content, and other benefits available under each Subscription are described within the applicable purchase flow.

Kiddos+ is intended to provide eligible premium features across multiple Kiddos Apps.

Not every Kiddos App, feature, or service is guaranteed to be included in Kiddos+ at all times.

The Kiddos Family Pack is intended to simplify discovery, installation, and access to Kiddos Apps. It does not itself provide premium access unless expressly stated.

## 10.b. Billing and Cancellation

Some features of Kiddos Yum may be available without a Subscription.

Access to premium content, premium lunchbox themes, advanced meal planning tools, AI-powered features, premium food illustrations, or other premium functionality may require a paid Subscription.

To activate, purchase, restore, or manage a Subscription, users may be required to sign into an Apple account associated with the App Store and iCloud, subject to Apple's requirements.

All subscriptions are managed exclusively through Apple's App Store.

Apple controls:

* billing;

* renewals;

* free trial eligibility;

* payment processing;

* cancellations;

* restorations.

Kiddos LLC is not responsible if a Subscription cannot be purchased, restored, or renewed due to Apple account restrictions, device limitations, payment failures, regional availability, or other Apple platform requirements.

Unless otherwise specified by Apple, subscriptions automatically renew unless canceled at least twenty-four (24) hours before the end of the current billing period.

Users may cancel at any time through their Apple account settings.

## 10.c. Availability of Content

Content available within Kiddos Yum may change over time.

Kiddos LLC may add, remove, update, modify, or discontinue:

* food illustrations;

* meal suggestions;

* lunchbox templates;

* premium themes;

* AI-generated content;

* educational materials;

* seasonal content;

* premium features.

Kiddos LLC does not guarantee that any particular meal suggestion, food illustration, premium theme, lunchbox design, or educational activity will remain permanently available.

Certain third-party information, including restaurant information, grocery information, food databases, maps, nutrition data, or other external content may also change without notice and is outside the control of Kiddos LLC.

Content and functionality may vary depending upon:

* Subscription type;

* country;

* language;

* device;

* operating system;

* platform;

* Kiddos+ eligibility.

## 10.d. Price Changes

Kiddos LLC may modify subscription pricing from time to time.

Price changes are communicated in accordance with applicable law and Apple's policies.

Continued use of the Mobile Application following the effective date of a price change constitutes acceptance of the updated pricing to the extent permitted by applicable law.

## 10.e. Refunds and Payment Processing

All payments are processed exclusively by Apple.

Kiddos LLC does not receive your payment information and cannot issue refunds.

Refund requests must be directed to Apple:

To the fullest extent permitted by applicable law:

* subscription payments are non-refundable;

* partial subscription periods are not refunded;

* unused subscription time is not refunded;

* discontinued features do not create a right to reimbursement.

Subscription fees are billed in advance and are not prorated.

# 11. Modification and Discontinuation of the Mobile Application

Kiddos LLC continually improves Kiddos Yum and the broader Kiddos ecosystem.

Accordingly, Kiddos LLC reserves the right, at its sole discretion, to:

* modify the Mobile Application;

* introduce new functionality;

* discontinue existing functionality;

* add or remove premium content;

* modify subscription offerings;

* update AI capabilities;

* redesign the user interface;

* discontinue support for older operating systems or devices.

We will make reasonable efforts to notify users of significant changes where appropriate.

However, Kiddos LLC does not guarantee the continued availability of any particular:

* feature;

* food illustration;

* premium theme;

* meal suggestion;

* lunchbox design;

* AI capability;

* educational activity;

* subscription offering.

If you disagree with changes made to Kiddos Yum, you may discontinue use of the Mobile Application and cancel your Subscription at any time.

Should Kiddos Yum itself be permanently discontinued, Kiddos LLC will provide notice where reasonably practicable.

No additional Subscription fees will be charged after the effective date of discontinuation to the extent Apple's billing systems permit.

Kiddos LLC does not provide refunds for Subscription fees previously paid.

Refund eligibility is determined solely by Apple under its refund policies.

You acknowledge that Kiddos LLC shall not be liable for any modification, suspension, discontinuation, or removal of any aspect of Kiddos Yum, including premium content, AI features, lunchbox templates, meal suggestions, or Subscription offerings.

# 12. Termination

You may stop using the Mobile Application at any time.

If you have an active Subscription, cancellation must be completed through Apple's App Store in accordance with Apple's policies. Stopping use of the Mobile Application does not automatically cancel your Subscription.

Kiddos LLC reserves the right, with or without notice where permitted by applicable law, to suspend, restrict, or terminate your access to the Mobile Application if we reasonably determine that:

* you have violated these Terms;

* you have violated applicable law;

* your use presents a security risk;

* your use interferes with the operation of the Mobile Application;

* your activities may expose Kiddos LLC, our partners, other users, or third parties to legal or operational risk.

Termination of access does not affect any rights or obligations accrued before termination.

Sections intended by their nature to survive termination, including intellectual property rights, disclaimers, limitations of liability, indemnification, dispute resolution, and governing law, shall survive termination of these Terms.

# 13. Disclaimer of Warranties and Limitation of Liability

THE MOBILE APPLICATION IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, KIDDOS LLC, ITS AFFILIATES, LICENSORS, SUPPLIERS, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AGENTS, AND REPRESENTATIVES DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF:

* MERCHANTABILITY;

* FITNESS FOR A PARTICULAR PURPOSE;

* NON-INFRINGEMENT;

* QUIET ENJOYMENT;

* ACCURACY;

* RELIABILITY;

* AVAILABILITY.

WITHOUT LIMITING THE FOREGOING, KIDDOS LLC DOES NOT WARRANT THAT:

* MEAL SUGGESTIONS ARE ACCURATE;

* FOOD INFORMATION IS COMPLETE;

* NUTRITIONAL INFORMATION IS CORRECT;

* ALLERGEN INFORMATION IS ACCURATE;

* FOOD ILLUSTRATIONS MATCH REAL PRODUCTS;

* RESTAURANT INFORMATION IS CURRENT;

* SHOPPING LISTS ARE COMPLETE;

* PACKING LISTS ARE SUITABLE;

* AI-GENERATED CONTENT IS ERROR FREE.

YOU ARE SOLELY RESPONSIBLE FOR VERIFYING ALL FOOD, INGREDIENT, NUTRITIONAL, PORTION, ALLERGEN, SAFETY, AND DIETARY INFORMATION BEFORE SERVING FOOD TO A CHILD.

KIDDOS YUM IS NOT A MEDICAL DEVICE.

KIDDOS YUM DOES NOT PROVIDE MEDICAL ADVICE.

KIDDOS YUM DOES NOT PROVIDE DIETARY COUNSELING.

KIDDOS YUM DOES NOT REPLACE PROFESSIONAL ADVICE FROM PHYSICIANS, PEDIATRICIANS, DIETITIANS, NUTRITIONISTS, OR OTHER QUALIFIED PROFESSIONALS.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, KIDDOS LLC SHALL NOT BE LIABLE FOR ANY:

* ALLERGIC REACTIONS;

* FOOD INTOLERANCES;

* MEDICAL CONDITIONS;

* INJURIES;

* ILLNESSES;

* FOODBORNE ILLNESS;

* NUTRITIONAL DEFICIENCIES;

* SCHOOL POLICY VIOLATIONS;

* DIETARY DECISIONS;

* PURCHASE DECISIONS;

* MEAL PREPARATION DECISIONS;

* FOOD PACKING DECISIONS;

* LOSS OF DATA;

* LOSS OF PROFITS;

* LOSS OF GOODWILL;

* CONSEQUENTIAL DAMAGES;

* INDIRECT DAMAGES;

* INCIDENTAL DAMAGES;

* SPECIAL DAMAGES;

* PUNITIVE DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, KIDDOS LLC'S TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE LESSER OF:

* THE TOTAL AMOUNT PAID BY YOU FOR KIDDOS YUM DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM; OR

* THIRTY UNITED STATES DOLLARS (USD $30).

NOTHING IN THESE TERMS SHALL BE INTERPRETED AS IMPOSING PERSONAL LIABILITY UPON THE OWNERS, MEMBERS, MANAGERS, OFFICERS, OR EMPLOYEES OF KIDDOS LLC.

THE LIMITATIONS IN THIS SECTION APPLY ONLY TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW.

SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS OR EXCLUSIONS.

IN THOSE JURISDICTIONS, THESE LIMITATIONS SHALL APPLY ONLY TO THE EXTENT LEGALLY PERMITTED.

KIDDOS LLC'S AFFILIATES, LICENSORS, DISTRIBUTORS, TECHNOLOGY PROVIDERS, AND SUPPLIERS ARE INTENDED THIRD-PARTY BENEFICIARIES OF THIS SECTION.

# 14. Indemnification

To the fullest extent permitted by applicable law, you agree to defend, indemnify, and hold harmless Kiddos LLC, its affiliates, licensors, suppliers, officers, directors, employees, contractors, agents, successors, assigns, and owners from and against all claims, actions, liabilities, damages, judgments, settlements, penalties, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:

* your use of the Mobile Application;

* your violation of these Terms;

* your violation of applicable law;

* your violation of any third-party rights;

* your misuse of meal suggestions;

* your food selections;

* your preparation or serving of food;

* your reliance upon AI-generated recommendations;

* any claim arising from food prepared, packed, purchased, or served by you.

This indemnification obligation survives termination of these Terms.

# 15. Dispute Resolution

The provisions of this Section apply except where prohibited by applicable regional law.

## 15.a. Mandatory Arbitration

YOU AND KIDDOS LLC AGREE THAT ANY DISPUTE ARISING OUT OF OR RELATING TO THESE TERMS OR THE MOBILE APPLICATION SHALL BE RESOLVED THROUGH FINAL AND BINDING ARBITRATION RATHER THAN IN COURT, EXCEPT AS EXPRESSLY PROVIDED BELOW.

You may opt out of arbitration within thirty (30) days after first accepting these Terms by sending written notice to:

Your notice must include:

* your name;

* your Apple account email address (if applicable);

* the Mobile Application name;

* a statement that you wish to opt out of arbitration.

### 15.a.i. Arbitration Forum

Arbitration shall be administered by JAMS pursuant to its Comprehensive Arbitration Rules and Procedures.

Unless otherwise required by applicable law:

* arbitration may occur by videoconference;

* hearings may occur remotely;

* judgment upon the arbitration award may be entered in any court having jurisdiction.

The Federal Arbitration Act governs the interpretation and enforcement of this arbitration agreement.

Kiddos LLC will not seek attorneys' fees unless an arbitrator determines that your claims were frivolous or brought in bad faith.

### 15.a.ii. Exceptions

Mandatory arbitration does not apply to:

* individual small claims court actions;

* requests for temporary or preliminary injunctive relief relating to intellectual property rights;

* actions involving unauthorized access to the Mobile Application;

## 15.b. Class Action Waiver

YOU AND KIDDOS LLC AGREE THAT ALL CLAIMS SHALL BE BROUGHT ONLY IN AN INDIVIDUAL CAPACITY.

YOU WAIVE ANY RIGHT TO PARTICIPATE IN:

* CLASS ACTIONS;

* REPRESENTATIVE ACTIONS;

* CONSOLIDATED ACTIONS;

* PRIVATE ATTORNEY GENERAL ACTIONS, WHERE PERMITTED.

No arbitrator may consolidate claims involving multiple users without the written consent of all parties.

## 15.c. Jury Trial Waiver

TO THE MAXIMUM EXTENT PERMITTED BY LAW, YOU AND KIDDOS LLC KNOWINGLY AND VOLUNTARILY WAIVE THE RIGHT TO A JURY TRIAL FOR ANY DISPUTE ARISING UNDER THESE TERMS.

If any portion of this arbitration agreement is determined to be invalid or unenforceable, that provision shall be modified only to the minimum extent necessary to make it enforceable.

The remainder of this arbitration agreement shall remain fully effective.

# 16. General Terms

## 16.a. Assignment

You may not assign or transfer these Terms or any rights granted under them without the prior written consent of Kiddos LLC.

Kiddos LLC may assign these Terms, in whole or in part, to:

* an affiliate;

* a successor;

* an acquirer;

* another entity involved in a merger, acquisition, restructuring, or sale of assets.

## 16.b. Changes to These Terms or the Mobile Application

Kiddos LLC continually improves Kiddos Yum and the Kiddos ecosystem.

Accordingly, we may modify these Terms from time to time in order to:

* comply with changes in law;

* improve security;

* introduce new technology;

* introduce new subscription plans;

* support additional Kiddos Apps;

* improve AI functionality;

* improve the Mobile Application.

Where reasonably practicable, we will provide at least thirty (30) days' notice before material changes become effective.

Continued use of the Mobile Application after the effective date constitutes acceptance of the updated Terms.

If you do not agree with the updated Terms, you must discontinue use of the Mobile Application.

## 16.c. Delay in Enforcement

Failure by Kiddos LLC to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision.

## 16.d. Entire Agreement

These Terms constitute the complete agreement between you and Kiddos LLC regarding Kiddos Yum.

They supersede all prior agreements, communications, understandings, and representations relating to the Mobile Application.

## 16.e. Governing Law

These Terms are governed by the laws of the State of California, United States, without regard to its conflict-of-law principles.

Nothing in these Terms limits any mandatory consumer rights or remedies that you may have under the laws of your place of residence.

# 17. United States Addendum

This United States Addendum supplements the Terms above and applies to users who reside in the United States or its territories. In the event of any conflict between this United States Addendum and the Terms above, this United States Addendum controls to the extent of the conflict.

## 17.a. United States Availability

The Mobile Application is intended to be made available to users residing in the United States and its territories, subject to applicable laws and platform availability.

## 17.b. United States Child Privacy and Age Requirements

Children under the age of thirteen (13) may use Kiddos Yum only with the authorization and supervision of a parent or legal guardian.

Kiddos LLC is committed to complying with applicable United States privacy laws, including, where applicable:

* the Children’s Online Privacy Protection Act (COPPA);

* the California Consumer Privacy Act (CCPA), as amended;

* other applicable federal or state privacy laws.

Nothing in these Terms limits any rights that cannot be waived under applicable law.

## 17.c. United States Law, Venue, and Arbitration

These Terms are governed by and construed in accordance with the laws of the State of California, United States, without regard to conflict-of-law principles.

Except for claims subject to arbitration under Section 15, and to the fullest extent permitted by applicable law, all claims arising out of or relating to these Terms or the Mobile Application shall be brought exclusively in the federal or state courts located in Santa Clara County, California.

The dispute resolution, arbitration, class action waiver, and jury trial waiver provisions set forth in Section 15 apply to users in the United States or its territories to the fullest extent permitted by applicable law.

# 18. Canada Addendum

This Canada Addendum supplements the Terms above and applies to users who reside in Canada. In the event of any conflict between this Canada Addendum and the Terms above, this Canada Addendum controls to the extent of the conflict.

## 18.a. Availability

The Mobile Application may be made available to users who reside in Canada, subject to applicable laws and platform availability.

## 18.b. Consumer Rights

Nothing in these Terms limits or excludes any rights you may have under applicable Canadian consumer protection laws, including federal, provincial, or territorial laws, that cannot be waived, excluded, or limited by contract.

## 18.c. Billing and Refunds

Access to the Mobile Application may occur directly, through a standalone subscription, through Kiddos+, or through the Kiddos Family Pack experience.

All subscriptions, billing, renewals, cancellations, restorations, and refund requests are managed by Apple and are subject to Apple’s terms and policies.

To the fullest extent permitted by applicable Canadian law, payments are non-refundable, including for any unused portion of a subscription period. However, nothing in these Terms limits any cancellation, refund, chargeback, or statutory remedy rights you may have under applicable Canadian law.

## 18.d. Meal Suggestions and Third-Party Information

Meal suggestions, restaurant information, grocery information, nutrition information, AI-generated recommendations, educational content, food illustrations, shopping lists, packing lists, lunchbox templates, and related content are provided for informational, organizational, and educational purposes only.

Parents and caregivers remain solely responsible for verifying:

* food ingredients;

* allergens;

* nutritional suitability;

* portion sizes;

* food safety;

* school, daycare, camp, or childcare requirements;

* medical, religious, cultural, or dietary restrictions.

Kiddos Yum does not provide medical advice, nutritional counseling, dietary treatment, allergy management, food safety certification, or healthcare services.

## 18.e. Limitation of Liability

The disclaimers, exclusions, and limitations of liability contained in these Terms apply only to the fullest extent permitted under applicable Canadian law.

Where Canadian law prohibits the exclusion or limitation of particular warranties, conditions, remedies, or liabilities, those provisions shall apply only to the extent permitted by law.

Nothing in these Terms excludes or limits liability where such exclusion or limitation is prohibited by applicable law.

## 18.f. Dispute Resolution

To the fullest extent permitted by applicable law, the dispute resolution provisions set out in Section 15 apply to users in Canada.

However, where arbitration, class action waiver, jury trial waiver, venue, or related dispute resolution provisions are prohibited or restricted by applicable Canadian federal, provincial, or territorial law, those provisions shall not apply to the extent of such prohibition or restriction.

Where arbitration is not enforceable, you may bring claims in a court of competent jurisdiction as permitted by applicable law.

This United Kingdom Addendum supplements the Terms above and applies to users who reside in the United Kingdom. In the event of any conflict between this United Kingdom Addendum and the Terms above, this United Kingdom Addendum controls to the extent of the conflict.

The Mobile Application may be made available to users who reside in the United Kingdom, subject to applicable laws and platform availability.

## 19.b. Consumer Rights

Nothing in these Terms affects your statutory rights as a consumer under applicable United Kingdom law, including under the Consumer Rights Act 2015 and other laws that cannot be excluded or limited by contract.

## 19.c. Digital Content, Billing, and Refunds

Access to the Mobile Application may occur directly, through a standalone subscription, through Kiddos+, or through the Kiddos Family Pack experience.

Meal suggestions, AI-generated recommendations, nutrition information, food illustrations, restaurant information, grocery information, shopping lists, packing lists, lunchbox templates, and educational content are provided solely for informational, organizational, and educational purposes.

Parents and caregivers remain solely responsible for determining whether foods, ingredients, meals, snacks, lunchbox selections, or recommendations are appropriate for their children.

Kiddos Yum does not provide medical advice, nutritional counseling, dietary treatment, allergy management, food safety certification, or healthcare services.

## 19.e. Limitation of Liability

Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited under applicable United Kingdom law.

Subject to the foregoing, the limitations and exclusions of liability in these Terms apply only to the fullest extent permitted by applicable law.

## 19.f. Dispute Resolution

The arbitration provisions, class action waiver provisions, jury trial waiver provisions, venue provisions, and related dispute resolution provisions in Section 15 apply only to the extent permitted under applicable United Kingdom law.

Where those provisions are unenforceable or prohibited, you may bring proceedings before a court of competent jurisdiction as permitted by applicable United Kingdom law.
